1. Agreement to Terms

Welcome to MingleMaps! These Terms of Service ("Terms") constitute a legally binding agreement between you and Royal Technologies LLC, doing business as MingleMaps ("MingleMaps," "we," "us," or "our") governing your access to and use of the MingleMaps mobile application and related services (collectively, the "Services").

Please also review our Privacy Policy, which describes how we collect, use, and share your information. By using MingleMaps, you also agree to our Privacy Policy.

2. Eligibility

To use MingleMaps, you must:

• Be at least 18 years of age. MingleMaps is a dating platform designed exclusively for adults. We do not knowingly allow minors to use our Services. You will be required to provide your date of birth during registration.
• Be legally able to enter into a binding contract with MingleMaps.
• Not be prohibited from using the Services under applicable law.
• Not have been previously banned or removed from MingleMaps.
• Not be a registered sex offender.

3. Account Registration and Security

3.1 Creating an Account

To use MingleMaps, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your information to keep it accurate
• Use your real identity and not impersonate any other person
• Create only one account for your personal use

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account. MingleMaps is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Description of Services

MingleMaps is a location-based dating application that facilitates real-world connections. Our Services include:

• Venue Check-Ins: Check into physical locations ("hotspots") to discover other users at the same venue
• Matching: Express interest in other users through our "hold-to-heat" system and receive mutual match notifications
• Compass-Guided Meetings: Navigate to find your match in real-time using our compass feature
• Ice Breaker Conversations: Structured conversation prompts to help you start talking
• Mingling Sessions: Timed conversations with extension options
• Safety Features: Buddy emergency contact system and safety resources
• Premium Features: Optional paid subscriptions for enhanced functionality

5. User Conduct and Community Guidelines

MingleMaps is committed to creating a safe and respectful community. By using our Services, you agree NOT to:

5.1 Prohibited Behaviors

• Harass, bully, stalk, intimidate, or threaten any user
• Post or transmit content that is hateful, discriminatory, racist, sexist, or promotes violence
• Engage in any form of sexual harassment or send unsolicited sexual content
• Use the Services for any illegal purpose or to promote illegal activities
• Solicit money or valuables from other users
• Use MingleMaps for commercial purposes, advertising, or spam
• Impersonate any person or entity, or misrepresent your identity or affiliation
• Create multiple accounts or use another user's account
• Attempt to manipulate the matching system or other app features

5.2 Prohibited Content

You agree not to upload, post, or share:

• Nudity or sexually explicit content
• Photos that are not of yourself
• Content depicting minors
• Copyrighted or trademarked material without authorization
• Content containing personal contact information in profile photos
• Malicious code, viruses, or harmful software

6. Location Services and Safety

6.1 Location Requirements

MingleMaps requires access to your device's location services to function. By using MingleMaps, you consent to:

• Collection of your precise GPS location when using the app
• Sharing of your relative location (direction and distance, not exact coordinates) with matches during compass meetings
• Display of your presence at venues to other users

6.2 Safety Acknowledgment

You acknowledge and agree that:

• Meeting people in person involves inherent risks
• MingleMaps does not conduct background checks on users
• MingleMaps does not verify the identity, background, or statements of users
• You are solely responsible for your interactions with other users
• You should exercise caution and use good judgment when meeting anyone in person

6.3 Safety Recommendations

We strongly recommend that you:

• Use our buddy safety feature to share your location with trusted contacts
• Meet in public places
• Tell a friend or family member about your plans
• Trust your instincts—if something feels wrong, leave
• Report any suspicious or harmful behavior to us immediately

7. Premium Subscriptions and Payments

7.1 Subscription Options

MingleMaps offers optional premium subscriptions ("MingleMaps Max") with enhanced features. Subscription options include:

• Monthly subscription: $5.99 per month
• Annual subscription: $39.99 per year

Prices are subject to change. Current pricing is always displayed in the app before purchase.

7.2 Billing and Renewal

• Subscriptions are billed through the Apple App Store
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel subscriptions through your Apple ID account settings

7.3 Refunds

Refunds are handled by Apple in accordance with their App Store policies. MingleMaps does not directly process refunds. If your account is terminated for violation of these Terms, you are not entitled to a refund.

8. User Content

8.1 Your Content

You retain ownership of the content you create and share on MingleMaps ("User Content"), including profile photos, and messages. By posting User Content, you grant MingleMaps a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Services.

8.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the right to use and share your User Content
• Your User Content does not violate the rights of any third party
• Your User Content complies with these Terms and all applicable laws

8.3 Content Moderation

MingleMaps reserves the right, but has no obligation, to monitor, review, and remove any User Content at our sole discretion. We may remove content that violates these Terms or that we find objectionable for any reason.

9. Intellectual Property

The MingleMaps name, logo, app design, features, and all related intellectual property are owned by Royal Technologies LLC. You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of the software, unless laws prohibit these restrictions or you have our written permission.

10. Disclaimers

To the fullest extent permitted by law, MingleMaps disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the Services will be uninterrupted, secure, or error-free
• Any warranty regarding the conduct, identity, or intentions of any user
• Any warranty that the Services will meet your requirements or expectations

11. Limitation of Liability

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, use, goodwill, or other intangible losses
• Any damages resulting from your interactions with other users
• Any damages resulting from unauthorized access to your account or data
• Any damages exceeding the amount you paid to MingleMaps in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Royal Technologies LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

13. Termination

13.1 Termination by You

You may delete your account at any time through the app settings. Upon deletion, your profile and personal data will be removed in accordance with our Privacy Policy.

13.2 Termination by MingleMaps

MingleMaps reserves the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms or Community Guidelines
• Conduct that we determine is harmful to other users, third parties, or MingleMaps
• Requests by law enforcement or government agencies
• Extended periods of inactivity
• Discontinuation or modification of the Services

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. This governing law provision applies regardless of whether you reside or use the Services in another state or country.

15. Dispute Resolution: Binding Arbitration and Class Action Waiver

15.1 Agreement to Arbitrate

You and Royal Technologies LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with MingleMaps (collectively, "Disputes") will be resolved by binding individual arbitration rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies.

There is no judge or jury in arbitration, and court review of an arbitration award is limited. An arbitrator can award the same damages and relief as a court (including attorneys' fees), but the arbitration rules are simpler and more limited than court rules.

15.2 Class Action Waiver

Unless both you and MingleMaps agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

15.3 Arbitration Procedures

Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by this agreement. The AAA Rules and filing forms are available online at www.adr.org.

• Location: Arbitration will take place in Pitt County, North Carolina, unless you and MingleMaps agree to another location or to proceed by telephone or video conference.
• Fees: MingleMaps will pay all AAA filing, administration, and arbitrator fees for any arbitration we initiate. For claims you initiate, you will pay the first $250 of filing fees, and MingleMaps will pay the remainder of all fees, unless the arbitrator finds the claim frivolous.
• Decision: The arbitrator's decision and award will be final and binding, and judgment may be entered in any court of competent jurisdiction.

15.4 Exceptions to Arbitration

The following Disputes are not subject to the arbitration agreement:

• Claims that qualify for small claims court
• Disputes relating to intellectual property (patents, copyrights, trademarks, trade secrets)
• Claims for injunctive relief to stop unauthorized use or abuse of the Services

15.5 Informal Resolution First

Before filing an arbitration, you agree to try to resolve any Dispute informally by contacting us at minglemaps@royaltechnologies.us. We will attempt to resolve the Dispute informally within 60 days. If the Dispute is not resolved within 60 days, either party may proceed to arbitration.

15.6 Opt-Out Right

You may opt out of this arbitration agreement. To opt out, you must send written notice of your decision to opt out to minglemaps@royaltechnologies.us within 30 days of first creating your MingleMaps account. Your notice must include your name, account email address, mailing address, and a clear statement that you want to opt out of the arbitration agreement.

If you opt out of the arbitration agreement, you and MingleMaps agree to submit to the exclusive jurisdiction of the state and federal courts located in Pitt County, North Carolina for resolution of any Disputes.

15.7 Survival

This arbitration agreement will survive termination of your account and these Terms.

16. Changes to These Terms

MingleMaps reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the app and updating the "Last Updated" date. For material changes to the arbitration provisions, we will provide at least 30 days' notice. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Services and delete your account.

17. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and MingleMaps regarding the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. MingleMaps may assign these Terms without restriction.
• No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
